These Terms & Conditions govern your use of coppercitydigital.com and the services Copper City Digital, LLC offers. They cover the basics — who can use the Site, how SMS communications work, what we own, what we don't promise, and how disputes are handled. Please read them carefully. 1. Introduction & Acceptance of Terms

By accessing or using coppercitydigital.com (the "Site") or any services provided by Copper City Digital, LLC ("Copper City Digital," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Site or our services.

These Terms apply to all visitors, users, prospects, and clients. By continuing to use the Site or engaging our services, you confirm that you have read, understood, and accepted these Terms.

2. About Copper City Digital

Copper City Digital, LLC is a digital services consultancy based in Rome, New York, serving small and mid-sized businesses across Central New York and nationally. We provide web design, digital marketing, automation, and AI-driven communication services.

3. Eligibility

To use this Site or engage our services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract;
  • Reside in a jurisdiction where the use of our Site and services is legal.

By using the Site, you represent and warrant that you meet each of the above requirements.

4. Services Description

Copper City Digital offers the following services:

  • Web design and development
  • Digital marketing and SEO
  • Marketing and workflow automation
  • SMS text message marketing
  • Reputation management
  • Social media management
  • AI and voice agent integrations

Specific engagements are governed by separate, signed Service Agreements, Statements of Work, or proposals between you and Copper City Digital. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls with respect to the work it governs.

5. SMS Communications

Copper City Digital sends operational SMS notifications related to our voice AI agent system and other business operations.

Opt-in: By providing your mobile number through any consent mechanism — including an employment agreement, a signed Service Agreement, verbal opt-in during a recorded call, or a web form on this Site — you consent to receive SMS messages from Copper City Digital at the number provided.

Opt-out: You may opt out at any time by replying STOP to any message we send. We will send a confirmation of opt-out and will cease sending further SMS messages to that number.

Frequency: Message frequency varies based on operational activity. You may receive up to 10 messages per day.

Rates: Message and data rates may apply. Carrier rates and fees are not the responsibility of Copper City Digital.

Non-sharing: Mobile phone numbers and SMS opt-in data are not shared with third parties or affiliates for marketing or promotional purposes. This includes opt-in data collected for operational SMS notifications. See our Privacy Policy for full details.

Carrier disclaimer: Wireless carriers are not liable for delayed or undelivered messages.

6. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, audio, video, software, and the underlying design and code — is owned by or licensed to Copper City Digital and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. You may not reproduce, distribute, modify, create derivative works of, publicly display, sell, scrape, reverse-engineer, or otherwise exploit any part of the Site without our prior written consent.

Ownership and licensing of deliverables produced under a paid engagement are governed by the applicable Service Agreement.

7. User Conduct

When using the Site, you agree that you will not:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or related infrastructure;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Use any automated means — including bots, scrapers, or crawlers — to access, copy, or harvest data from the Site, except for publicly available search engine indexing;
  • Transmit any viruses, malware, or other malicious code through the Site or related forms.

8. Third-Party Services & Integrations

The Site and our services may incorporate or rely on third-party platforms and services, including but not limited to Google, Twilio, Retell AI, n8n, Supabase, and various social media networks. These services are governed by their own terms of service and privacy policies.

Copper City Digital does not control and is not responsible for the availability, content, accuracy, or practices of any third-party service. Your use of any third-party service is at your own risk.

9. Disclaimers

The Site and our services are provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, timely, secure, or error-free.

Information published on the Site is provided for general informational purposes only and does not constitute legal, financial, marketing, or other professional advice. You should consult an appropriate professional before acting on any information you find here.

10. Limitation of Liability

To the fullest extent permitted by law, Copper City Digital, its members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of the Site or our services.

In no event shall Copper City Digital's total cumulative liability arising out of or related to these Terms or your use of the Site or services exceed the greater of (a) the total fees you paid to Copper City Digital in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Copper City Digital, its members, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms;
  • Your misuse of the Site or our services;
  • Your violation of any applicable law, regulation, or third-party right.

12. Termination

We may suspend or terminate your access to the Site or our services at any time, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is otherwise harmful to Copper City Digital or other users.

The provisions of these Terms that by their nature should survive termination — including those regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive any termination or expiration of your access.

13. Governing Law & Disputes

These Terms and any dispute arising out of or related to them or your use of the Site or our services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.

Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Oneida County, New York, and you consent to the personal jurisdiction and venue of those courts.

The parties may, by mutual written agreement, elect to resolve a dispute through binding arbitration in lieu of court proceedings.

14. Changes to These Terms

Copper City Digital may modify these Terms at any time. When we do, we will post the updated Terms on this page and revise the "Last updated" date below. Material changes may also be communicated directly where appropriate.

Your continued use of the Site or our services after any such update constitutes your acceptance of the revised Terms.
